Terms and Conditions

Welcome to AgriWise Consulting, a service provided by OTOCO BASE WY LLC - AgriWise Consulting - Series 130.

These Terms and Conditions ("Terms") govern your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

1. Services Provided

AgriWise Consulting offers agricultural consulting services, including but not limited to Crop Advisory, Irrigation Consulting, and Farm Management. The specific details of each service will be outlined in a separate Service Agreement between AgriWise Consulting and the client.

2. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for the provision of services. Clients must cooperate with AgriWise Consulting personnel and adhere to agreed-upon schedules and deliverables. Any delays or inaccuracies caused by the client's failure to meet these responsibilities may impact service delivery and outcomes.

3. Fees and Payment

Fees for services will be detailed in the Service Agreement. Payment terms, including invoicing, due dates, and accepted payment methods, will also be specified in the Service Agreement. AgriWise Consulting reserves the right to suspend services or terminate agreements for non-payment or late payment.

4. Confidentiality

Both AgriWise Consulting and the client agree to maintain the confidentiality of all proprietary and confidential information exchanged during the course of the engagement. This includes, but is not limited to, business plans, financial data, trade secrets, and personal information. Confidentiality obligations will survive the termination of any Service Agreement.

5. Intellectual Property

All intellectual property rights, including copyrights and trademarks, related to the materials, reports, and recommendations provided by AgriWise Consulting remain the property of AgriWise Consulting, unless otherwise agreed upon in writing. Clients are granted a non-exclusive, non-transferable license to use such materials for their internal business purposes only.

6. Limitation of Liability

AgriWise Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the services
• Any conduct or content of any third party on the services
• Any content obtained from the services
• Unauthorized access, use or alteration of your transmissions or content

Whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

7. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the federal and state courts located in Wyoming for any actions arising out of or relating to these Terms.

8. Changes to Terms

AgriWise Consulting reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
